Terms & Conditions of Service
Effective Date: 6 June 2026

These Terms and Conditions ("Terms") govern all services provided by Wild Rebrand, a trading name of Wild Events & Consulting ("we", "us", "our"). By engaging our services, you ("the Client") agree to be bound by these Terms in full. Please read them carefully before proceeding.

1. Our Services
Wild Rebrand provides branding, design, content, website creation, and related consulting services to businesses as agreed in writing prior to commencement of any project.

The scope of each project will be outlined in a proposal, quote, or written agreement ("Project Brief") provided to the Client before work begins. Any services not explicitly included in the Project Brief are not covered and may be subject to additional charges.

2. Amendments & Revisions
Wild Rebrand includes two (2) rounds of amendments as standard on all final deliverables. This applies to the final version of any given item (e.g. logo, document, web page, copy).

•    Amendment requests must be submitted clearly in writing via email or message.
•    Amendments beyond the two included rounds will be charged at our standard hourly rate, which will be communicated to you in advance.
•    Amendments that constitute a significant change of direction, scope, or concept may be treated as a new project and quoted accordingly.
•    Wild Rebrand reserves the right to determine whether a request constitutes an amendment or a new instruction.

3. Website Creation
3.1 Platform Responsibility
Where Wild Rebrand creates a website on a third-party platform (including but not limited to Wix or Squarespace), the following applies:
•    The website will be built on the Client's own account on their chosen platform.
•    The Client is solely responsible for all platform subscription costs, domain registration and renewal fees, email hosting charges, and any other third-party expenses associated with their platform account.
•    Wild Rebrand is not responsible for platform pricing changes, outages, feature removals, or any other matters outside of our control.

3.2 Handover & Maintenance
Upon completion and final payment, the website will be formally handed over to the Client. Following handover:
•    The Client assumes full responsibility for the ongoing management, upkeep, security, and associated costs of the website.
•    Wild Rebrand does not provide ongoing website maintenance unless this has been explicitly agreed as a separate, paid retainer arrangement.
•    Any post-handover support or updates requested will be quoted and charged for separately.

3.3 Existing Websites
Where the Client requests updates to an existing website:
•    The Client must provide Wild Rebrand with full access to the relevant platform, hosting account, and any associated login credentials required to carry out the agreed work.
•    Wild Rebrand will carry out only the agreed updates and does not take on responsibility for any pre-existing issues, performance problems, or ongoing maintenance of the site.
•    Access must be granted in a timely manner; delays in providing access may result in project delays (see Section 6).

4. Client Content & Imagery Requirements
4.1 Imagery
Where the Client is supplying imagery for use in any deliverable (including but not limited to websites, social media templates, or brand materials), the following requirements must be met:

•    All images must be provided in high resolution, suitable for professional use across both digital and print formats.
•    Images must be shared via Google Drive, Dropbox, or an equivalent online platform with full access granted to Wild Rebrand.
•    Shared folders must be clearly named and all individual images must be labelled so that their intended use is immediately clear (e.g. Homepage Hero, About Page, Team Photo).
•    Wild Rebrand will not be responsible for any quality issues in the final deliverable arising from low-resolution or poorly labelled imagery supplied by the Client.
•    Where the Client is unable to supply suitable imagery, Wild Rebrand can source stock imagery at an additional cost, which will be agreed in advance.

4.2 Written Content
Where the Client is responsible for supplying written content (copy) for any deliverable:

•    All written content must be provided as a Word document (.docx).
•    Content must be organised page by page, with clear headings indicating which section or page each piece of copy relates to.
•    Copy should be provided in its final, approved form. Wild Rebrand will use the content as supplied and is not responsible for proofreading, editing, or revising copy provided by the Client unless this has been agreed as part of the Project Brief.
•    If copy is provided in an incomplete, unformatted, or unclear state, Wild Rebrand reserves the right to pause the project until suitable content is received. This may impact delivery timelines.

5. Payments & Fees
5.1 Deposit
A non-refundable deposit of 50% of the total project fee is required upon confirmation of your project before any work commences. By paying the deposit, the Client confirms acceptance of these Terms and the agreed Project Brief.

The deposit is non-refundable and non-amendable under any circumstances, including but not limited to a change of mind, business circumstances, or cancellation.

5.2 Final Balance
The remaining 50% balance is due upon project completion, prior to the final delivery of files, assets, or handover of any website or deliverable. Work will not be released until the final balance has been received in full.

5.3 Payment Method
All payments are to be made via bank transfer to Wild Events & Consulting. Bank details will be provided on your invoice. Please use your invoice number as the payment reference.

5.4 Late Payment
Invoices are due on the date stated. If payment is not received by the due date, a late payment fee of 5% of the outstanding balance will be applied for every 7 days the payment remains overdue. Wild Rebrand reserves the right to pause or suspend all work until outstanding balances are cleared.

5.5 Additional Services & Expenses
Any services, work, or expenses not included in the original Project Brief will be subject to additional charges. These will always be communicated and agreed in writing before being undertaken. This includes, but is not limited to:
•    Additional rounds of amendments beyond the two included
•    Copywriting, photography, or other creative services not originally scoped
•    Third-party software, licences, stock imagery, or tools required for the project
•    Rush fees for work required outside of standard timelines

6. Client Responsibilities & Project Timelines
6.1 Client Responsibilities
The successful delivery of your project depends on timely input and cooperation from you. By engaging our services, the Client agrees to:
•    Provide all required information, content, images, branding materials, access credentials, and feedback in a timely manner.
•    Share all necessary folders, platforms, accounts, or documents required for the project in the formats specified in Section 4.
•    Grant access to any third-party platforms, tools, or accounts needed to carry out the agreed work.
•    Respond to requests for information, feedback, or approval promptly and within the timeframes set out below.

6.2 Delays Caused by the Client
Wild Rebrand works to pre-set project timelines that are scheduled around other client commitments. If the Client is unable to provide the required information, content, imagery, or feedback when requested, this will directly affect the project delivery timeline.

Where a delay is caused by the Client failing to supply what has been requested:
•    The project will be paused until the required materials are received.
•    The delivery timeline will be extended by approximately two (2) weeks from the date the outstanding information is received, to allow Wild Rebrand to reschedule the work around existing project commitments.
•    Wild Rebrand accepts no liability for delays to the overall project resulting from the Client's failure to provide information, content, or access in a timely manner.
•    In cases where no response is received within 30 days of a request, Wild Rebrand reserves the right to treat the project as cancelled under Section 7.

Wild Rebrand will always communicate clearly when information is outstanding and provide reasonable notice before a project is paused or timelines are revised.

7. Cancellation Policy
Should the Client wish to cancel a project after work has commenced, the following applies:

•    The deposit (50%) remains non-refundable in all circumstances.
•    If cancellation occurs within 30 days of the project start date, the Client will be charged for all work completed up to the point of cancellation. This will be calculated based on time spent and work delivered, and invoiced accordingly.
•    If cancellation occurs after 30 days, the full project fee may be due depending on the stage of completion.
•    All work completed to date remains the property of Wild Rebrand until any outstanding balance has been settled in full.

8. Communication
Wild Rebrand is available to communicate via email, video call, or message Monday to Friday during standard business hours.

We aim to respond to all correspondence within 72 hours. Response times may vary during busy periods, holidays, or exceptional circumstances, in which case we will communicate any delays to you.

All project-related instructions, approvals, and agreements should be confirmed in writing (email or message) to ensure clarity and avoid misunderstandings. Wild Rebrand cannot be held responsible for instructions given verbally that were not subsequently confirmed in writing.

9. Service Satisfaction
Wild Rebrand is committed to delivering a high standard of work and will always aim to resolve any concerns before they escalate. We would not expect to reach a formal complaint stage if communication has been maintained throughout the project.

In the event that a Client is not satisfied with the service received, the following process applies:
•    The Client must raise any concerns in writing as soon as they arise.
•    Each complaint will be reviewed on a case-by-case basis, taking into account the Project Brief, communication records, and work completed.
•    Wild Rebrand will always seek to find a fair and reasonable resolution.
•    Refunds, where considered, are entirely at the discretion of Wild Rebrand and will be assessed on the individual circumstances of each case.

10. Wild Rebrand's Right to Cancel
Wild Rebrand reserves the right to cancel or withdraw from a project in exceptional circumstances, including but not limited to:
•    Client behaviour that is abusive, unreasonable, or in breach of these Terms
•    Failure by the Client to provide required information or payments within agreed timeframes
•    Circumstances beyond our reasonable control

In the event that Wild Rebrand terminates a project, the Client will be charged for all time spent and work completed up to the point of cancellation. Any remaining balance after deducting work completed from the deposit will be returned to the Client. The deposit remains non-refundable.

11. Portfolio & Promotional Use
Wild Rebrand reserves the right to feature completed project work in our portfolio, on our website, on social media, and in marketing materials unless the Client explicitly requests otherwise in writing before the project commences.

We may share business names, project details, images of completed work, and general descriptions of the services provided. No personal data, confidential business information, financial details, or any other sensitive information will be shared without explicit written consent.

By engaging our services, the Client grants Wild Rebrand a non-exclusive, royalty-free licence to use completed work for promotional purposes. This can be revoked in writing at any time.

12. Data Protection & Privacy
Wild Rebrand is committed to handling all personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

In providing services to the Client, we may collect and process the following data:
•    Business name, contact details, and billing information
•    Project-related content, materials, and communications
•    Access credentials shared for the purposes of completing the agreed work

This data will be used solely for the purpose of delivering the agreed services and will not be shared with third parties without consent, except where required by law.

Access credentials and sensitive business information shared with Wild Rebrand will be handled securely and deleted or returned upon project completion.

The Client has the right to request access to, amendment of, or deletion of any personal data held by Wild Rebrand at any time by contacting us in writing. For full details of how we handle personal data, please refer to our Privacy Policy.

13. Intellectual Property
All work created by Wild Rebrand remains the intellectual property of Wild Rebrand until full and final payment has been received.

Upon receipt of full payment, the Client will receive full ownership rights to the final deliverables as agreed in the Project Brief. Wild Rebrand retains the right to use completed work in its portfolio as set out in Section 11.

The Client warrants that all materials, content, images, and information provided to Wild Rebrand for use in the project do not infringe the intellectual property rights of any third party. Wild Rebrand accepts no liability for any intellectual property infringement arising from materials supplied by the Client.

14. Limitation of Liability
Wild Rebrand will carry out all services with reasonable skill and care. However, to the fullest extent permitted by law, Wild Rebrand shall not be liable for:
•    Any indirect, consequential, or special loss or damage arising from the services provided
•    Loss of profit, revenue, business, data, or goodwill
•    Any failure or delay caused by circumstances outside of Wild Rebrand's reasonable control, including third-party platform issues, technical failures, or force majeure events
•    Any errors, omissions, or issues arising from inaccurate or incomplete information provided by the Client
•    Any losses arising from the Client's use of third-party platforms, tools, or services
•    Any quality issues resulting from low-resolution, poorly labelled, or unsuitable imagery or content supplied by the Client

Wild Rebrand's total liability to the Client in connection with any project shall not exceed the total fees paid by the Client for that specific project.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

15. General
15.1 Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.

15.2 Entire Agreement
These Terms, together with the agreed Project Brief and any written correspondence confirming scope, constitute the entire agreement between Wild Rebrand and the Client and supersede any prior discussions or agreements.

15.3 Amendments to These Terms
Wild Rebrand reserves the right to update or amend these Terms at any time. The version in force at the time of project commencement will apply to that project.

15.4 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

By proceeding with a project, paying a deposit, or signing a project agreement, the Client confirms they have read, understood, and agreed to these Terms & Conditions in full.
